Overview

Mark has a focus in capital markets, specifically securitisation and debt capital markets.

He has acted for a range of clients including sponsors, arrangers, facility providers and trustees in both domestic and cross-border deals. Sponsors Mark has acted for include ADIs and non-bank ADIs, including fintechs. Mark's experience also extends to securitisation in the context of acquisition transactions.

Notable Work
  • Athena Mortgage Pty Ltd: Mark is acting for Athena in establishing its securitisation programme, including multiple warehouses, private placements, whole loan sale programmes and a public term securitisation.
  • Digital Mortgage Solutions Pty Ltd (formerly known as Nano Lending Pty Ltd): Mark is acting for DMS in establishing its securitisation programme, including multiple warehouses (one of which included a complex settlement facility funded to permit DMS to originate loans directly into the trust).
  • SG Fleet: Mark is acting for SG Fleet in establishing its securitisation programme, including multiple warehouses, in particular in connection with SG Fleets acquisition of LeasePlan Australia and New Zealand where securitisation provided the majority funding for the acquisition.
  • BNK Banking Corporation Limited: Mark acted for BNK in establishing its securitisation programme, including its inaugural warehouse trust funded by a senior bank lender and an offshore mezzanine lender (being one of the first ADI warehouses it had invested in).
  • Credit Union Australia Ltd trading as Great Southern Bank: Mark acts for GSB in connection with its Harvey securitisation programme, including in respect of its various term and warehouse transactions.
  • People's Choice: Mark acts for People's Choice in connection with its Light securitisation programme, including in respect of its various term and warehouse transactions.
  • ING Bank: Mark advised ING Bank on its various term securitisation programmes.
  • Macquarie Group: Mark acted for Macquarie in connection with the establishment of a securitisation programme and two warehouses to provide funding to Vestone Capital, a newly created joint venture with Mitsubishi UFJ Lease & Finance Company Limited.
  • Sintex Consolidated Pty Limited: Mark acts for Sintex with respect to its public term issuances for both its RMBS and CMBS books, including its inaugural public term issuances in 2021.
  • FlexiGroup (Humm): Mark has acted for Flexigroup in relation to its various public term transactions and warehouses. The 2020 Humm transaction represented a first in the Australian market with green tranches of bonds issued across all rating levels from AAA to BB. Most recently in respect of the 2022 term transaction, Mark advised Humm on the disclosure requirements to potential investors with regards to the potential acquisition of the hummgroup consumer finance business, including its Buy Now Pay Later operations and assets.
  • CBA: Mark is acting on a number of warehousing and term deal arrangements advising CBA in its capacity as senior financier, swap provider and Dealer/Joint Lead Manager/Arranger (as applicable).
  • NAB: Mark is acting on a number of warehousing and term deal arrangements advising NAB in its capacity as senior financier, swap provider and Dealer/Joint Lead Manager/Arranger (as applicable).
  • Westpac: Mark is acting on a number of warehousing and term deal arrangements advising Westpac in its capacity as senior financier, swap provider and Dealer/Joint Lead Manager/Arranger (as applicable).
  • Realm: Mark is acting on a number of warehousing arrangements advising Realm in its capacity as mezzanine financier.
  • Eclipx: Mark acted for Eclipx on the restructure of their warehouses in the context of the sale of Eclipx Commercial in 2019.
  • Optus Finance Pty Limited: Mark has acted for Optus in respect of its EMTN and AMTN programmes, including undertaking yearly reviews and updates required to each of the programmes (as well as note issuances).
