Overview

A seasoned legal professional, Andrew has over 30 years' experience in the area of banking law. He provides specialist experience in international and domestic securitisation and capital markets transactions, advising Australia's leading financial institutions, market participants and Government entities.

Notable Work
  • ANZ Origin sale: acted for two senior lenders funding the acquisition by Columbus Capital of ANZ's A$2 billion Origin mortgage distribution business. The transaction involved novel cashflows structuring in various SPVs to accommodate desired financial and regulatory outcomes.
  • Heartland: advised on a reverse mortgage securitisation, including drafting and negotiating deal documentation. It was the first Australian reverse mortgage RMBS for a number of years. The transaction was awarded Structured Finance and Securitisation Deal of the Year by IFLR.
  • NSW Treasury & Roads and Maritime Services – M7 monetisation: acted on the monetisation of rent payable by Westlink M7 and by Lendlease under its Darling Quarter lease. Advised on structuring and establishing a master trust program for the innovative securitisation of a lease rental stream. The M7 transaction was named winner of the Infrastructure Partnerships Australia Awards (2016) for Financial Excellence.
  • Lannock Capital: acted as drafting counsel in relation to the NSW Government's "Project Remediate" program, in which securitisation was used to enable the NSW Government to offer interest-free loans to help owners' corporations with the cost of rectifying flammable cladding.
  • CEFC: acted on novel financing of clean energy receivables through a range of structurally different facilities, including securitisation and sub-participation etc. This included CEFC's funding to Fleetpartners in respect of electric vehicle lease residual values.
  • Lannock Capital: advised on the establishment and subsequent restructuring and retranching of its strata loan securitisation warehouse.
  • Taurus Finance: acted as drafting counsel on its bailment floorplan warehouse securitisation, one of the few floorplan securitisations in the market.
  • Octet: acted as drafting counsel on its debtor finance supply chain warehouse securitisations.
