Philipa specialises in real estate transactions and corporate transactions with a real estate focus. She has particular experience with large scale and portfolio transactions and sales and acquisitions involving commercial, industrial, forestry, agriculture and aged care/retirement assets. She has worked extensively with major listed and private companies and is valued for her robust legal knowledge and understanding of commercial priorities.
Notable Work
- Acquisition of cattle operation in the Kimberley Region: Advised on the purchase of a large cattle farming operation, including 6 pastoral leases and 6 subleases in the Kimberley region of WA spanning an area of more than 2.9 million hectares.
- BaptistCare NSW & ACT: Advised on the acquisition of 3 retirement villages and 3 aged care facilities in a combination of share, asset and land sales.
- Barings Australia: Advised on the sale of a fund's portfolio of commercial and industrial properties with a value exceeding $760 million to a joint venture. The transaction included the sale of 18 freehold properties across New South Wales, Queensland and Victoria and the assignment of a major leasehold.
- Charter Hall Group: Advised on the sale and acquisition of numerous commercial and industrial properties.
- Acquisition of Lawson Grains Pty Ltd: Advised on the acquisition of 100% of the shares in Lawson Grains Pty Ltd, one of Australia's biggest corporate grain growers, by Alberta Investment Management Corporation for ~$600 million. Lawson Grains Pty Ltd owns 90,500 hectares of arable land across 10 aggregations in NSW and Western Australia.
- Charter Hall: Advised Charter Hall on the acquisition of a 50% stake in Paradice Investment Management, a funds management business which advises clients such as Cbus, Commonwealth Superannuation Corp and Rest Super.
- JP Morgan Asset Management: Advised J.P. Morgan Asset Management on the establishment and structuring of an investment fund joint venture with Fife Capital and the acquisition by that joint venture of a portfolio of 10 industrial properties in New South Wales, Queensland and Victoria.
- New Forests: Advised on the acquisition of ~24,700 hectares of Tasmanian plantation estate. The transaction involved the acquisition of 331 parcels of freehold land and transfer of 44 JV Agreements.
- New Forests: Acted on the acquisition of rights to ~12,000 hectares of hardwood plantations in the Bunbury catchment of Western Australia.
